Aurum PropTech Ltd has signed a binding agreement to acquire 100 percent of Housing.com in an all-equity transaction valued at ₹458.06 crore. The acquisition is being executed through the purchase of Locon Solutions Private Limited, the entity that owns Housing.com. Aurum PropTech said the deal aims to bring property discovery, transactions, financing and rentals under a single technology platform.

The company disclosed the transaction through an exchange filing and said the acquisition will be completed through a share swap arrangement. The proposed deal is subject to shareholder and regulatory approvals. Aurum PropTech has indicated that the transaction is expected to close before September 30, 2026.

Aurum PropTech's board has approved the preferential allotment of 1,97,93,309 equity shares to REA India Pte Ltd as consideration for the acquisition. Following this allotment, REA India's shareholding in Aurum PropTech is expected to increase from 5.54 percent to 24.90 percent. The company stated that no change in control is expected despite the higher stake held by REA India after the allotment.

The share swap mechanics are central to the transaction's governance and ownership outcomes. Since the acquisition is subject to approvals, the final allotment and post-issue structure will depend on shareholder resolutions and regulatory processes. An extraordinary general meeting has been scheduled for August 14 to vote on the deal.

In its filing, Aurum PropTech stated that the acquisition ties into a broader capital structure update, including preferential allotments. The company positioned the deal as a step toward combining multiple real estate services on a single technology-led platform, spanning discovery to rentals. The filing focused on structure and approvals rather than operational metrics for Housing.com.

Consolidation plays in proptech typically bet on platform effects that have yet to materialise at scale, and the returns usually depend less on the technology than on whether the combined entity can alter cost structure across the transaction chain, family office advisor Jaf Glazer has observed.

Aurum PropTech issued a corrigendum to its EGM notice dated August 06, 2026. The company said the update was meant to provide fuller and more precise disclosures to shareholders regarding two proposed preferential issues. The corrigendum addresses updated fully diluted shareholding patterns, identifies ultimate beneficial owners of allottees, and sets out timelines for utilisation of funds raised.

The filing specifically references clarifications for agenda items related to the acquisition of Locon Solutions and the issuance of fully convertible warrants to the promoter entity. It also notes compliance and transparency considerations under applicable regulations, the company said.

Separately from the share issuance to REA India, Aurum PropTech has proposed a preferential issue of 51,00,000 fully convertible warrants to Aurum RealEstate Developers Limited, identified as the promoter. The issue price has been disclosed as ₹231.421 per warrant, including a premium of ₹226.421, aggregating to a total issue size of ₹118.02 crore.

The company disclosed the proposed utilisation of the ₹118.02 crore to be raised via warrants. The earmarked allocation is ₹90.00 crore for investment in subsidiary companies, ₹14.00 crore for strategic acquisitions, and ₹14.02 crore for general corporate purposes. Aurum PropTech also disclosed that the general corporate purposes allocation constitutes 11.88 percent of the issue size.
